Waiver

The failure or delay by either party to exercise a right or enforce an obligation under this Agreement does not waive the party's ability to do so at a later time, nor does it constitute a waiver of any subsequent breach. A waiver of any breach is not a waiver of any subsequent breach. No lack of exercise, delay in action, or partial exercise of any right or power under this Agreement will serve as a waiver of that right or power. Furthermore, a single or partial exercise of a right does not preclude any other or further exercise of that right or the exercise of any other right granted under this Agreement. In case of any conflict between this Agreement and any other purchase or contractual terms, the terms of this Agreement will prevail.

Should a revision be necessary, we will provide a minimum of 30 days' notice before any new terms take effect. The determination of what constitutes a revision lies solely with us. Entire Agreement
